Terms & Conditions

Please read these terms carefully before using any Nexus Digital service, including our onchain service, onchain wallet payment gateway, SEO, digital marketing, and web development offerings.

01 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Nexus Digital LLC ("Nexus Digital," "we," "our," or "us"), a limited liability company organized under the laws of the State of New York, United States.

By accessing our website at nexusdigital.io, signing a service agreement, or using any of our services — including but not limited to digital marketing, SEO projects, web app development, payment gateway integration, or our onchain service and onchain wallet payment gateway — you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease use of all Nexus Digital services and platforms.

  • You must be at least 18 years of age to use our services.
  • If using our services on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
  • These Terms apply to all visitors, clients, and authorized users of Nexus Digital services.

02 Services Description

Nexus Digital LLC provides the following categories of professional digital services to US and international business clients:

Digital Marketing

Includes pay-per-click (PPC) campaign management, social media advertising, email marketing, programmatic advertising, and marketing analytics reporting. Campaign performance targets are estimates and not guaranteed outcomes.

SEO Projects

Includes technical SEO audits, on-page optimization, content strategy, link building, local SEO, and e-commerce SEO. Search engine rankings are subject to third-party algorithms outside our control. We make no guarantee of specific ranking positions or traffic volumes.

Web App Development

Includes front-end and back-end web application development, API development, cloud infrastructure deployment, and ongoing maintenance. All development work is governed by individual project specifications agreed in writing.

Payment Gateway Integration

Includes integration of traditional payment processors (Stripe, PayPal, Braintree, Square) and our proprietary onchain service for cryptocurrency payments. See Section 3 for specific onchain service terms.

⚠ Service Scope The specific deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement. In the event of conflict, the SOW supersedes these general Terms.

03 Onchain Service Terms

This section governs all use of Nexus Digital's onchain service, including onchain wallet payment gateway integration, cryptocurrency payment processing, and all related onchain help and support services.

3.1 Nature of Onchain Service

Our onchain service enables your business to accept cryptocurrency payments directly to a designated onchain wallet address on supported blockchain networks (Bitcoin, Ethereum, Solana, Polygon, USDC stablecoins, and others). Nexus Digital acts as a technology service provider — we do not hold, custody, or control your funds at any point.

3.2 Non-Custodial Architecture

Our onchain service is non-custodial by design. All cryptocurrency payments settle directly to your designated onchain wallet address. You are solely responsible for:

  • The security of your onchain wallet private keys and seed phrases.
  • Backing up and protecting access to your onchain wallet.
  • Ensuring your designated wallet address is correct before integration.
  • Any loss of funds resulting from loss of wallet access, phishing, or user error.

Nexus Digital will never ask for your private keys, seed phrases, or wallet passwords. Any communication requesting such information should be treated as fraudulent.

3.3 Supported Networks & Assets

Our onchain service currently supports the following blockchain networks and assets:

  • Bitcoin (BTC) — mainchain and Lightning Network
  • Ethereum (ETH) — mainnet, Arbitrum, Optimism Layer 2
  • USD Coin (USDC) — Ethereum, Solana, Base, Polygon
  • Solana (SOL) and SPL tokens
  • Polygon (POL) and ERC-20 tokens on Polygon
  • TON (Telegram Open Network) — where available

Supported networks may change with notice. We reserve the right to add or remove blockchain support at any time.

3.4 Transaction Fees

Our onchain service charges a fee of 0.5% per transaction, plus applicable blockchain network fees (gas fees), which vary by network and are outside our control. Fees are deducted at the time of settlement. Detailed fee schedules are provided in your Service Agreement.

3.5 Transaction Finality

Blockchain transactions are irreversible once confirmed. Unlike credit card payments, there are no chargebacks on the blockchain. You acknowledge that:

  • You are solely responsible for verifying payment amounts before confirming transactions.
  • Nexus Digital cannot reverse, refund, or recover onchain wallet transactions once broadcast to the network.
  • Refunds to customers must be processed by you as separate outbound transactions.

3.6 Onchain Help & Support

Enterprise clients receive dedicated onchain help including wallet configuration, API integration support, compliance documentation, and live monitoring. ⛓ Onchain Service Compliance All onchain service operations through Nexus Digital are subject to US regulatory requirements including FinCEN MSB registration, KYC/AML procedures, OFAC sanctions screening, and IRS 1099-DA reporting. See Section 8 for full compliance details.

04 Client Accounts & Access

To access certain Nexus Digital services, you may be required to create a client account or portal login. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities conducted under your account.
  • Notify us immediately of any unauthorized use at [email protected].

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to our systems or other clients.

05 Fees, Payment & Billing

5.1 Service Fees

All fees are set forth in the applicable Service Agreement or Statement of Work. Published pricing on our website is indicative and subject to change. Retainer-based services are billed monthly in advance. Project-based work follows the milestone payment schedule in the SOW.

5.2 Payment Terms

Invoices are due within 15 days of the invoice date unless otherwise specified. Late payments accrue interest at 1.5% per month. We reserve the right to suspend services for accounts more than 30 days past due.

5.3 Refund Policy

Monthly retainer fees are non-refundable once the billing period has commenced. For project-based work, refunds are governed by the milestone and deliverable schedule in the SOW. Setup fees and onchain service integration fees are non-refundable.

5.4 Taxes

All fees are exclusive of applicable taxes. Clients are responsible for all applicable sales, use, VAT, GST, or similar taxes. For onchain service transactions, clients are solely responsible for their own cryptocurrency tax obligations including IRS reporting requirements.

06 Intellectual Property

6.1 Client Materials

You retain all rights to materials, data, brand assets, and content you provide to us. You grant Nexus Digital a limited license to use these materials solely to provide the agreed services.

6.2 Deliverables

Upon full payment of all fees, Nexus Digital assigns to you all rights, title, and interest in project-specific deliverables (custom code, creative assets, content) developed exclusively for your engagement, except for pre-existing Nexus Digital intellectual property, third-party components, or our proprietary frameworks and methodologies.

6.3 Nexus Digital IP

Our onchain service platform, APIs, dashboard software, onchain wallet integration tools, SEO methodologies, and all associated intellectual property remain the exclusive property of Nexus Digital LLC. Clients receive a limited, non-exclusive, non-transferable license to use these tools during the term of their service agreement.

6.4 Portfolio & Case Studies

Unless you request otherwise in writing, Nexus Digital reserves the right to reference your company name and describe the nature of services performed in our portfolio, case studies, and marketing materials.

07 Data, Confidentiality & Privacy

Each party agrees to treat as confidential all non-public information received from the other party and to use such information only for purposes of performing or receiving the services. This obligation survives termination of the service agreement for a period of three (3) years.

The collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

For onchain service transactions, you acknowledge that blockchain transaction data (wallet addresses, transaction hashes, and amounts) is publicly visible on the respective blockchain network by its immutable nature.

08 US Legal Compliance

8.1 Onchain Service Regulatory Compliance

Nexus Digital's onchain service operates in compliance with applicable United States law, including:

  • FinCEN / Bank Secrecy Act (BSA): We maintain MSB registration (Reg. #31000123456789) and comply with all BSA requirements including SAR filings and CTR reporting.
  • KYC / AML: Customer identity verification and anti-money laundering monitoring are applied to all onchain wallet transactions.
  • OFAC Sanctions: All transactions are screened in real time against OFAC's SDN list and applicable sanctions programs.
  • Travel Rule: For applicable transactions, originator and beneficiary information is exchanged with compliant counterparty VASPs.
  • IRS Reporting: We provide automated 1099-DA reporting for applicable digital asset transactions.
  • State MTLs: We operate through licensed MSB partners in all 50 US states.

8.2 Client Compliance Obligations

You are responsible for complying with all applicable laws in your jurisdiction related to your use of our services. For onchain service users, this includes applicable cryptocurrency regulations, digital asset tax reporting, and any industry-specific licensing requirements.

⚠ Prohibited Uses Our onchain service must not be used for money laundering, terrorist financing, sanctions evasion, transactions with sanctioned persons or entities, or any activity prohibited by US or international law. Violation will result in immediate termination and referral to relevant authorities.

09 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXUS DIGITAL LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SERVICE AGREEMENT SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL NEXUS DIGITAL BE LIABLE FOR: (A) LOSS OF PROFITS OR REVENUE; (B) LOSS OF DATA; (C) INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; (D) CRYPTOCURRENCY PRICE FLUCTUATIONS; (E) BLOCKCHAIN NETWORK FAILURES OR CONGESTION; (F) LOSS OF ONCHAIN WALLET ACCESS DUE TO CLIENT-SIDE SECURITY FAILURES; OR (G) ACTIONS OF THIRD-PARTY SERVICES INCLUDING PAYMENT PROCESSORS OR BLOCKCHAIN NETWORKS.

Some jurisdictions do not allow limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10 Warranties & Disclaimers

Nexus Digital warrants that it will perform services with reasonable skill and care consistent with industry standards. We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that: (a) our services will be uninterrupted or error-free; (b) specific SEO rankings or marketing results will be achieved; (c) blockchain networks will operate without interruption; or (d) cryptocurrency values will remain stable.

11 Termination

Either party may terminate a service engagement by providing 30 days written notice. We may terminate immediately and without notice if you: breach these Terms, engage in fraudulent activity, violate applicable law, or fail to pay fees after notice.

Upon termination: (a) all outstanding fees become immediately due; (b) we will provide a final data export within 15 days; (c) onchain wallet integration access will be disabled; and (d) each party will return or destroy the other's confidential information.

Provisions that by their nature should survive termination (including Sections 6, 7, 9, 10, and 12) shall survive.

12 Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration administered by JAMS in New York, NY, under JAMS Comprehensive Arbitration Rules.

You waive any right to participate in a class action lawsuit or class-wide arbitration. Each party waives the right to a jury trial for any dispute arising from these Terms.

Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction.

13 Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website at least 14 days before they take effect. Your continued use of Nexus Digital services after the effective date constitutes acceptance of the revised Terms.
